If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

Best Tech Company offers a comprehensive range of technology services, including but not limited to:
• Software Development (Custom Solutions, Mobile Apps, Web Development, Game Development)
• Data & Analytics (Business Intelligence, Data Science, Machine Learning, Advanced Analytics)
• Technology Services (IT Consulting, Managed Services, Digital Transformation, Training & Education)

The specific scope of services for each client will be detailed in a separate Statement of Work (SOW), project agreement, or service order, which shall be incorporated into these Terms by reference.

3. User Accounts and Security
To access certain features of our Services, you may be required to register for an account.
You agree to:
• Provide accurate, current, and complete information during the registration process.
• Maintain the security of your password and identification.
• Notify us immediately of any unauthorized use of your account or any other breach of security.
• Be responsible for all activities that occur under your account.

4. Client Responsibilities
As a client engaging Best Tech Company, you agree to:
• Provide timely and accurate information, feedback, and access to necessary resources as reasonably requested by us for project delivery.
• Comply with all applicable laws and regulations in your use of our Services.
• Refrain from any activities that could disrupt or damage our Services or infrastructure.

5. Intellectual Property Rights
• Our IP: All intellectual property rights in and to the Services (excluding client content), including our website, software tools, methodologies, and trademarks, are owned by Best Tech Company or our licensors.
• Client IP: Any intellectual property created specifically for you as part of a custom development project will be transferred to you upon full and final payment for the respective project. Until full payment, ownership of such work product remains with Best Tech Company.
• Client Content: You retain all rights to any content, data, or information that you provide to us. You grant us a non-exclusive, worldwide, royalty-free license to use such content solely for the purpose of providing the Services to you.

6. Payments and Billing
• Payment terms, pricing, and billing cycles will be specified in the individual project agreements, SOWs, or service contracts.
• All payments are due as per the agreed-upon schedule. Failure to make timely payments may result in the suspension or termination of services.
• Taxes (e.g., GST, VAT) will be applied as per applicable laws.

7. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary and confidential information exchanged during the course of our engagement. This includes, but is not limited to, business plans, technical data, pricing, and client-specific information.

8. Disclaimer of Warranties
Our Services are provided “as is” and “as available,” without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Best Tech Company does not warrant that the Services will be uninterrupted, error-free, or completely secure.

9. Limitation of Liability
To the maximum extent permitted by applicable law, Best Tech Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
(a) Your access to or use of or inability to access or use the Services;
(b) Any conduct or content of any third party on the Services;
(c) Unauthorized access, use, or alteration of your transmissions or content.

Our aggregate liability for any claims shall not exceed the amount you paid to us for the services in the twelve (12) months preceding the claim.

10. Indemnification
You agree to indemnify, defend, and hold harmless Best Tech Company, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees and costs, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any third-party rights.

11. Termination
We may terminate or suspend your access to all or part of our Services immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms. Upon termination, your right to use the Services will immediately cease.
